The Ministry of Corporate Affairs (MCA) on August 24, 2022 has issued Companies (Removal of Names of Companies from the Register of Companies) Second Amendment Rules, 2022 to further amend the Companies (Removal of Names of Companies from the Register of Companies) Rules, 2016. This has come into force on August 24, 2022.
The following has been stated namely: -
• In Form STK-1 which states “Notice by Registrar for removal of name of a company from the register of companies” out of the various options available in paragraph (1) the following option has been inserted namely: -
“the company is not carrying on any business or operations, as revealed after the physical verification carried out under sub-section (9) of section 12”
• In Form STK-5 which states “Public Notice”, under paragraph (1) Which numbers reasons which the matter is of striking off of companies. The following reason has been inserted namely: -
“The following companies are not carrying on any business or operations, as revealed after the physical verification carried out under sub-section (9) of section 12”
• In Form STK-5A which states “Public Notice” in Paragraph (1) states reasons which need to be struck off if not applicable. The following has been inserted along with the given options namely: -
“are not carrying on any business or operations, as revealed after the physical verification carried out under sub-section (9) of section 12”
