The Bombay Stock Exchange (BSE) on October 28, 2022, issued Standard Operating Process under SEBI (PIT) Regulations, 2015 for ensuring compliance with Structured Digital Database (SDD) with reference to Regulation 3(5) and 3(6) of SEBI (PIT) Regulations, 2015 which required SDD to be maintained by the company.
In view of the above, companies are required to submit a quarterly compliance certificate certified either by the compliance officer or a Practicing Company Secretary (PCS) in the format which is annexed as Annexure A.
The companies are required to submit the SDD compliance certificate for the quarter ending September 2022 must be submitted latest by November 18, 2022, and for the quarter ending December 2022 must be submitted latest by January 21, 2023.
The inspection of the SDD system which is maintained by the listed company shall be done by the exchange after providing one working days’ notice.
Annexure B specifies the additional FAQs in continuation to the earlier FAQs issued by SEBI.
It is pertinent to mention that the companies that are in process of listing are also required to maintain the Structural Digital Database (SDD). Also, a few companies who have already submitted the Structural Digital Database (SDD) certificate in the old format will be required to submit the same in the format provided in this circular.
The circular will be effective immediately.
