Secretarial ComplianceThe Bombay Stock Exchange (BSE) on June 28, 2023, issued a circular regarding the Framework for restricting trading by Designated Persons by freezing PAN at the security level under the SEBI (Prohibition of Insider Trading) Regulations, 2015

This has a reference to the Exchange notice no: 20220808-7 dated August 08, 2022, and in accordance with SEBI circular no. SEBI/HO/ISD/ISD-SEC-4/P/CIR/2022/107 dated August 05, 2022, regarding the Trading Window closure period 

This circular shall come into force with effect from the quarter ending September 30, 2023

The following has been stated namely: -

• It states that in order to ensure smooth implementation of the provisions of said SEBI circular, shall be applicable to the declaration of financial results by the listed company in a phased manner as per the table attached.

• It states that the Companies that qualify must include all equity ISIN and ISINs that are convertible into equity.

• The Listed entities are required to designate one of the depositories as its designated depository and provide the information including PAN of Promoters, promoter group, directors, and designated persons in the manner as specified by the depositories according to SEBI circular no – SEBI/HO/ISD/ISD/CIR/P/2020/168 dated September 09, 2020. 

• It Further states that the listed entities shall update their designated person list in the manner specified by the depositories on a regular basis.
