The Securities and Exchange Board of India (SEBI) on October 31, 2023, issued a circular regarding the Revised manner of achieving minimum public unitholding requirement – Infrastructure Investment Trusts (InvITs)
This shall come into force on October 31, 2023
The following has been stated namely: -
• This has a reference to the SEBI circular no. SEBI/HO/DDHS/PoD2/P/CIR/2023/107 dated June 27, 2023, prescribing methods to achieve minimum public unitholding requirements for InvITs and further reference to the Master Circular for InvITs dated July 06, 2023
• It states that the methods listed under Chapter 21 of the Master Circular for InvITs dated July 06, 2023, the following shall be an additional method for privately placed InvITs in order to achieve minimum public unitholding namely: -
“Issuance of units through preferential allotment”
• The detailed Revised manner of achieving minimum public unitholding requirement – Infrastructure Investment Trusts have been attached for reference
