The Bombay Stock Exchange (BSE) on November 24, 2023, issued the notification regarding the SEBI (Prohibition of Insider Trading) Regulations, 2015 (“PIT Regulations”) – Framework for restricting trading by Designated Persons (“DPs”) by freezing PAN at the security level.
The following has been stated namely: -
• This is in reference to the Trading Window closure period under the SEBI (Prohibition of Insider Trading) Regulations, 2015 (“PIT Regulations”) – Framework for restricting trading by Designated Persons (“DPs”) by freezing PAN at the security level.
• The revised list for the Next Top 1,000 companies in terms of BSE Market Capitalization as of June 30, 2023, has been listed in Annexure 1
• Companies that qualify must include all equity ISIN and ISINs that are convertible into equity.
• Listed entities are required to designate one of the depositories as its designated depository and provide the information including PAN of Promoter(s), promoter group, director(s), and designated person(s) in the manner as specified by the depositories.
• Listed entities shall update their designated person list in the manner specified by the depositories on a regular basis.
This circular shall come into force for trading window closure with effect from January 01, 2024.
