The Ministry of Corporate Affairs (MCA) on September 19, 2024, issued a clarification on holding of AGM and EGM through video conference or other audio-visual means and passing of ordinary and special resolutions by the companies under the Companies Act, 2013.
The following has been stated namely: -
• It allows the companies to conduct their due AGMs through Video Conference (VC) or Other Audio-Visual Means (OAVM) on or before September 30, 2025.
• It allows the companies to conduct their EGMs through Video Conference (VC) or Other Audio-Visual Means (OAVM) or transact items through postal ballot upto September 30, 2025.
