The Securities and Exchange Board of India (SEBI) on December 12, 2024, notified Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) (Third Amendment) Regulations, 2024 further to amend the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The following has been stated: -
•In regulation 2, in sub-regulation (1),
i.Clause (k) shall be omitted;
ii. In clause (zc), in the first proviso,
a)In clause (b) the words “by the listed entity” appearing after the words “the following corporate actions” and before the words “which are uniformly applicable” shall be omitted;
b)After clause (c), the following new clauses shall be inserted, namely,- “(d) acceptance of current account deposits and saving account deposits by banks in compliance with the directions issued by the Reserve Bank of India or any other central bank in the relevant jurisdiction from time to time.
•In regulation 7 specifies that the listed entity shall submit a compliance certificate to the exchange, duly signed by both the compliance officer of the listed entity and the authorized representative of the share transfer agent, wherever applicable, within one month of the end of each half of the financial year, certifying compliance with the requirements of sub-regulation (2)., sub-regulation (3) shall be omitted.
•In regulation 19 which specifies the Nomination and remuneration committee, in sub-regulation (3A), after the words “once in a” and before the word and symbol “year.”, the word “financial” shall be inserted.
They shall come into force on December 13, 2024.
