Secretarial ComplianceThe Securities Exchange Board of India (SEBI) on February 07, 2025, issued a consultation paper on Aspects Relating to Secretarial Compliance Report, Appointment of Auditors and Related Party Transactions of a Listed Entity.

SEBI has released a consultation paper seeking public views on key proposals, including enhancing the secretarial compliance report, setting eligibility criteria for statutory auditors, and improving disclosure requirements for audit committees, boards, and shareholders. The paper also addresses clarifications and ease of implementation regarding Related Party Transactions (RPT). These proposals, based on recommendations from the Advisory Committee on Listing Obligations and Disclosures (ACLOD), will require amendments to SEBI’s LODR Regulations, 2015, and SBEBS Regulations, 2021. Detailed proposed changes and rationales are outlined in Annexures 1 and 2.
