Secretarial ComplianceThe Securities and Exchange Board of India (SEBI) on March 21, 2025, issued a draft consultation paper on Facilitation to SEBI registered Stock Brokers to undertake securities market-related activities in Gujarat International Finance Tech-city – International Financial Services Centre (GIFT-IFSC) under a Separate Business Unit (SBU).

The following has been stated: -

•SEBI proposes allowing stock brokers to conduct securities market activities in GIFT-IFSC under a Separate Business Unit (SBU) without requiring approval (NOC) for subsidiaries or joint ventures. 

•This aims to simplify business operations while maintaining an arms-length relationship with key personnel, infrastructure, and regulatory controls. The subsidiary's activities would still require permission from the relevant regulatory authority. 

•Comments on the draft circular are invited by April 11, 2025.
