Secretarial ComplianceThe Ministry of Corporate Affairs (MoCA) on March 12, 2026, issued an Advisory for Stakeholders for Name Reservation and Incorporation of Company and LLP.

The following has been stated: -

•The Ministry of Corporate Affairs issued an advisory for stakeholders on name reservation and incorporation of companies and LLPs under the Companies Act, 2013, and Limited Liability Partnership Act, 2008.

•Proposed names must be unique and clearly distinguishable, and should not resemble existing company names, LLP names, or registered trademarks.

•Certain words (e.g., Bank, Insurance, Architect) require prior approval or NOC from the relevant regulator, while misleading, offensive, or government-linked names are not permitted.

•The advisory specifies time restrictions on using names of dissolved, struck-off, or renamed entities, and provides guidance on trademark checks and NIC code selection.

•Proper registered office documents, NOCs, lease agreements, and accurate capital/DIN details must be submitted during incorporation.

•Additional rules clarify restrictions for financial activities, Section 8 companies, OPCs, and LLPs, along with compliance requirements for incorporation forms and supporting documents.
